Introduction
An opportunity exists for a Group Head of Legal & Compliance reporting into the Group Chief Financial Officer to support the business by developing and implementing best practice risk frameworks including policies, standards, and processes and reporting that are appropriate to the market in which the Life Healthcare Group operates. The incumbent will be responsible for providing strategic input and direction from a Legal & Compliance perspective, establishing, promoting and reinforcing Compliance standards, aligned to local laws, regulations as well as companywide Company-wide Compliance policies.

Critical Outputs
Implementation and oversight of the Group Compliance Management Framework (CMF) including assurance activity to provide management with a view of the robustness of the CMF in each jurisdiction
Facilitate the implementation of appropriate compliance processes and practices to ensure compliance obligations to regulations and internal governance processes are well understood across the business units, embedded into the business processes and monitored appropriately
Development of compliance indicators across the business that will ensure that any regulatory breaches are appropriately identified and escalated for proper root cause analysis that will result in mitigation strategies against future events. Interface deeply with business functions to ensure solid understanding of business and inherent risks
Be responsible for monitoring regulatory changes and implement the changes required in consultation with management and other functions of the company
Maintain strong relationship with risk practitioners within the company and where necessary with offshore and local regulatory bodies.
Liaise with Risk Management and Internal Audit on risk related issues, as well as non-compliance with internal policies, legislation, rules and regulations
Managing all commercial, litigation and corporate legal action
Drafting and/or perusing and initiating complex commercial and operational agreements and documents
Embedding within the business the standardization of contracts to ensure consistency of application across the range of commercial transactions
Managing group trademarks and other IP issues
Advising on, and successfully concluded, both incorporated and unincorporated joint ventures and business acquisitions and disposals
Monitoring and managing significant litigation claims (both criminal and civil) by and against the company, liaising with insurers & loss adjusters, advising on strategies
Supporting M&A and divestment activity, overseeing corporate transactions, and providing legal input to the evaluation of new ventures and acquisitions
Advising on corporate governance issues including relating to competition law, data protection, health and safety, company policies (including bribery and corruption and theft and fraud) amongst other things
Coordinating and developing Group input in response to proposed legal or regulatory changes in order to minimise adverse impacts on Group
Communicating new and relevant legislation to the business and board, and managing the implementation of such changes within the organization
Requirements
Must have a University degree in Law and Admitted Attorney
10 - 15 years’ experience in legal practice (preference will be given to the pharmaceutical/healthcare/technology industry)
Proven ability to proactively provide insightful and timely legal support to stakeholders across a functionally and geographically-dispersed organization
Experience with corporate responsibility and with balancing global standards and local cultures
Sound experience in litigation
Strong knowledge of compliance issues facing pharmaceutical or healthcare/technology businesses
